Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of WiseContent AI’s websites, applications, and services (collectively, the “Service”) provided by WiseContent AI (“WiseContent,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.

To use most features of the Service, you must register an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Keep your account credentials confidential;
• Be responsible for all activity that occurs under your account;
• Notify us immediately at support@wisecontent.ai of any unauthorized use.

WiseContent AI provides AI-powered tools that help small business owners generate social media copy, captions, hashtags, and accompanying visuals. The Service may evolve over time. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, although we will use reasonable efforts to notify you of material changes.

The Service is offered on a paid subscription basis after any applicable free trial. By subscribing, you agree to the following:

• Plans and pricing: current plans and prices are listed on our pricing page. We may change prices for future billing periods; if we do, we will give you advance notice.
• Billing cycle: subscriptions are billed in advance on a recurring monthly or annual basis, depending on the plan you choose.
• Payment processor: payments are processed by PayPal and/or other third-party payment processors. By providing payment information, you authorize us and our processors to charge the applicable fees, taxes, and other charges to your selected payment method.
• Automatic renewal: your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Renewal will be charged at the then-current rate of your plan.
• Failed payments: if a payment is declined, we may retry the charge and/or suspend access to paid features until payment is received.

We may offer a free trial period (currently 5 days) to new users. The free trial begins when you sign up and ends after the stated trial period. We may require valid payment information to activate certain trial features. If you do not cancel before the trial ends and you have provided payment information, you will be automatically charged for your chosen plan. We may modify or end free trial offers at any time.

We want you to be satisfied with WiseContent AI. Please read our refund terms carefully:

• 14-day money-back guarantee: if you are not satisfied with the Service, you may request a full refund of your first paid subscription charge within 14 days of that charge by emailing billing@wisecontent.ai with your account email and the date of the charge.
• Renewals: subscription renewals (charges after your first billing period) are non-refundable, except where required by applicable law. We recommend cancelling before your renewal date if you do not wish to continue.
• Partial periods: we do not issue prorated refunds for unused portions of a billing period after cancellation, except where required by applicable law.
• Annual plans: annual plans may be refunded on a prorated basis within 14 days of purchase if you have not materially used the Service during that time.
• Abuse: we may decline refund requests in cases of suspected fraud, abuse of the refund policy, or violation of these Terms.
• PayPal disputes:if you paid via PayPal, you may also have rights under PayPal’s Buyer Protection program. We encourage you to contact us first so we can resolve the issue directly.

Approved refunds are returned to the original payment method and typically appear within 5 to 10 business days, depending on your payment provider.

You may cancel your subscription at any time. To cancel:

• Sign in to your account, open Settings → Billing, and select Cancel subscription; or
• Email billing@wisecontent.ai from the email address associated with your account.

When you cancel:

• Your subscription will remain active until the end of the current billing period, after which it will not renew;
• You will retain access to paid features for the remainder of the billing period you have already paid for;
• Your business profiles, generated content, and scheduled posts will remain accessible during this period and may be exported;
• After the period ends, your account will revert to a limited or read-only state. We may retain your data for a reasonable period to allow reactivation; you can request permanent deletion at any time.

Cancellation by itself does not entitle you to a refund. See the Refunds Policy above.

Fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable sales, use, value-added, withholding, or similar taxes associated with your subscription, other than taxes based on our net income.

You agree not to use the Service to:

• Violate any applicable law or regulation, including intellectual property, privacy, advertising, and consumer-protection laws;
• Generate or distribute content that is unlawful, defamatory, harassing, hateful, sexually explicit, violent, deceptive, or infringing on third-party rights;
• Impersonate any person or entity or misrepresent your affiliation;
• Generate spam, phishing, or other deceptive content;
• Reverse engineer, decompile, scrape, or otherwise attempt to extract source code, prompts, or training data from the Service;
• Use automated systems to access the Service in a way that exceeds reasonable use or imposes an undue burden on our infrastructure;
• Resell, sublicense, or expose the Service to third parties without our written permission;
• Use the Service to develop a competing product or train competing AI models.

We may suspend or terminate accounts that we reasonably believe violate these rules.

As between you and WiseContent, and subject to your compliance with these Terms, you own the inputs you provide (your “Inputs”) and the outputs generated for you by the Service (your “Outputs”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your Inputs and Outputs solely to operate and improve the Service for you.

You are responsible for reviewing Outputs before use. AI-generated content may contain inaccuracies, may resemble content produced for others, and should not be treated as professional advice.

The Service, including all software, text, graphics, designs, trademarks, and logos (excluding your Inputs and Outputs), is owned by WiseContent or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.

The Service integrates with third-party services such as PayPal, AI model providers, and social media platforms. Your use of those services is governed by their terms and privacy policies. We are not responsible for third-party services and do not endorse them.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, SUITABLE, OR FREE OF INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISECONTENT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO WISECONTENT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, IN WHICH CASE THIS SECTION APPLIES TO THE FULLEST EXTENT PERMITTED.

You agree to defend, indemnify, and hold harmless WiseContent and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your Inputs or Outputs, (c) your violation of these Terms, or (d) your violation of any law or the rights of a third party.

We may suspend or terminate your access to the Service at any time if you violate these Terms, if we are required to do so by law, or if continued provision becomes commercially unreasonable. You may stop using the Service at any time. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration or small-claims court, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer residing in a jurisdiction with mandatory consumer-protection rules, those rules continue to apply.

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
